Kristian Jamieson concentrates his practice in the areas of real estate, commercial transactions, banking and finance. He represents a variety of clients from the manufacturing, high technology and service industries that range in size from local businesses to national corporations.
AREAS OF CONCENTRATION
Real Estate
Kristian has experience in all areas of residential and commercial real estate including project/land acquisition, leasing, financing, zoning issues, 1031 exchange transactions and the development of commercial and residential property. He has represented both borrowers and lending institutions with the negotiation and documentation of a wide range of real estate financing transactions including construction and permanent loans. Kristian also has extensive experience performing title examinations and prepared title opinions for both commercial and residential transactions.
Commercial Transactions
Kristian’s practice includes assisting clients in West Virginia with a wide range of commercial transactions, including mergers and acquisitions, divestitures, private placements of equity securities, and corporate governance matters. He has incorporated and organized commercial business entities including corporations, limited liability companies and limited and general partnerships. In addition, he has experience in post formation transactions including admission/retirement of members and dissolution of corporations and limited liability companies. Kristian’s recent efforts have included acting as counsel for the purchaser in a multi-million dollar asset acquisition of a hotel business, which included assisting the client with its corporate formation, resolving real estate zoning and title issues, and the negotiation and documentation of the financing for the transaction.
Banking & Finance
Kristian has represented both borrowers and lending institutions with negotiating, documenting and facilitating all types of secured and unsecured commercial lending transactions including real estate lending, working capital loans and other borrowing needs for clients in the manufacturing, high technology and service industries. He has also counseled and assisted clients with venture capital and equity transactions including Regulation D offerings and private placements.
PROFESSIONAL AND CIVIC ASSOCIATIONS
Kristian is a member of the West Virginia State Bar Association and the Morgantown Area Chamber of Commerce, participating in the Vision 20/20 program with the Monongahela River Recreation and Commerce Committee. He is also a 2006 graduate of Leadership Monongalia.
EDUCATION
Kristian received his law degree from the Wake Forest University School of Law. He received his undergraduate degree from Mary Washington College of the University of Mary Washington in Fredericksburg, Virginia where he majored in business administration with a primary focus on accounting.
