Pat Deem has practiced with the firm of Steptoe & Johnson since 1969, with primary emphasis in the areas of real estate and minerals, commercial transactions and business organizations. Mr. Deem's experience includes significant involvement in mergers, acquisitions and all aspects of financing.


AREAS OF CONCENTRATION

Commercial Banking
Mr. Deem has represented lenders and borrowers in all types of matters including loan structuring and documentation and mortgage loan programs.

Corporate
Mr. Deem is experienced in business planning including the formation of business entities and governance issues associated therewith.

Mergers and Acquisitions
He has extensive experience in negotiating and closing asset and stock purchase agreements including the handling of stock acquisitions from publicly traded entities and by foreign purchasers and necessary Hart-Scott-Rodino filings.

Real Estate and Minerals
Mr. Deem is a resident agent for national title insurance companies and has participated in all aspects of commercial and residential real estate acquisitions, financing and leasing, and transactions involved with minerals.

Estate Planning and Administration
He has extensive experience in the preparation of wills and trust agreements and estate administration including the preparation of tax returns.

PROFESSIONAL AND CIVIC ASSOCIATIONS

Mr. Deem has been a featured speaker at West Virginia CLE seminars and at seminars for the Energy & Mineral Law Foundation concerning mineral and real estate matters. He is a member and past chair of the West Virginia State Bar Committee on Corporations, Banking and Business Law, and is presently the West Virginia State Bar liaison to the American Bar Association Committee on Corporate Laws.  He has been selected for inclusion in the categories of corporate, natural resources, real estate, oil and gas and energy in The Best Lawyers in America,  a publication in which attorneys are recognized by their colleagues for proficiency in certain areas of the law.   Mr. Deem is also recognized in the 2007 Chambers USA America's Leading Lawyers for Business.  He was also named a Fellow of the West Virginia Bar Foundation in 2002.

He has been active in community groups and projects for the Harrison County Chamber of Commerce, the City of Bridgeport, the Harrison County Commission, and has served as a member of the Harrison County Board of Education.

EDUCATION

Mr. Deem received his legal education at West Virginia University College of Law, where he was Associate Editor of the West Virginia Law Review.

During law school, he was an instructor in accounting at Waynesburg College, Waynesburg, Pennsylvania.

He received his undergraduate degree from Marietta College, Marietta, Ohio, with majors in Economics and Accounting.
