Steptoe & Johnson’s energy practice assists clients in competitive wholesale and retail markets to develop, operate, finance, sell, or acquire energy assets to meet their energy needs. In fact, the firm was established in 1913 specifically to represent clients in the then-burgeoning coal, natural gas, and oil industries.   Firm practitioners have worked in government, assisted in structuring and implementing the regulations governing competitive markets, and have worked as in-house counsel for energy companies.  As a result, the energy practice provides a comprehensive perspective to complex problems and efficiently crafts value added solutions for clients. With nearly 100 years of hands-on experience in the energy industry, the firm has accumulated a wealth of experience and valuable industry knowledge.  Attorneys regularly help clients overcome challenges to major national energy initiatives and are highly skilled in transactions, regulatory work, litigation, and environmental aspects of energy law.

Representative Experience

  • Performed and managed various phases of due diligence for a $500M acquisition by our client of oil and gas E&P company.
  • Assisted client in a $50M joint venture to purchase prep plant and coal leases out of major bankruptcy case in Kentucky and handled bank loan transaction for the venture.
  • Negotiated revision of an electric energy power agreement which yielded the funds necessary to save the company from discontinuing operations.
  • Managed joint venture negotiations for client involving AAPL model form 610, COPAS, farm-out agreements and other instruments to govern a 60 – 80 well annual drilling program.
  • Intervened in a case before the WV Public Service Commission and obtained an agreement that will increase company’s rates and allow for its continued operation.
  • Managed a year-long project that successfully examined and provided title opinions for over 450 parcels in 2 counties in Virginia.
  • Assisted major land holding company in obtaining dismissal of major claims in bankruptcy court.
  • Performed real estate work for client’s development of the first wind farm in West Virginia. 
  • Coordinated a network of local counsel in 15 states to facilitate the consolidation of all oil and gas holdings nationwide so a $250M financing could occur.
  • Currently assisting client in raising funds for various energy ventures through private placement transaction. 
  • Successfully managing multi-year-title projects that successfully examined and provided title opinions in the first year for over 500 real estate parcels in various counties in West Virginia and Virginia.
  • Representation of client in the acquisition of hydro facilities and provide ongoing advice for issues associated to operations.
